PwC Legal advises Bayer on the carve-out and subsequent sale of the Environmental Science Professional business to Cinven

A team from PricewaterhouseCoopers Legal AG Rechtsanwaltsgesellschaft (PwC Legal) advises Bayer AG on the separation and sale of the Environmental Science Professional business unit to the international private equity firm Cinven for a purchase price of 2.6 billion U.S. dollars (2.4 billion euros).
Environmental Science Professional is a global leader offering environmental solutions to control pests, diseases and weeds in non-agricultural areas such as vector control, professional pest management, vegetation management, forestry, and turf and ornamentals. In 2021, the business had approximately 800 employees supporting operations and sales in more than 100 countries. It is headquartered in Cary, North Carolina, USA.
The team led by PwC Legal Partners Dr. Simon Dürr and Dr. Frederic Mirza Khanian has been advising Bayer AG on all aspects relating to the identification of the assets belonging to the Environmental Science unit and their worldwide separation. Dr. Simon Dürr and Dr. Frederic Mirza Khanian are both members of the Global Transformations Team, an initiative of PwC and PwC Legal in which experts from the areas of Tax, Legal, Valuations, Finance and Delivering Deal Value offer comprehensive one-stop support for international reorganization projects. A team led by Dr. Simon Dürr has already been advising Bayer AG since 2018 on the worldwide corporate integration of Monsanto. In 2019/2022, Dr. Frederic Mirza Khanian led the PwC Legal Team worldwide on the global carve-out of the Animal Health business which was divested to the US-based company Elanco.
